OFFICIAL RULES<\/span><\/p>\n

BY ENTERING THE <\/span>CONTEST<\/span>, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT.<\/span> NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. VOID <\/span>WHERE<\/span> PROHIBITED BY LAW.<\/span><\/p>\n

1. <\/span>CONTEST<\/span> PERIOD:<\/span> \u00a0<\/span><\/div>\n

The<\/span> <\/a>Sports & Social <\/span>2025<\/span> Nightmare on <\/span>U<\/span> Street<\/span> Halloween Costume<\/span> Contes<\/span>t<\/span> (the \u201cContest\u201d) <\/span>begins at <\/span>9<\/span>:00<\/span> p.m. <\/span>E<\/span>ST on October <\/span>31<\/span>, <\/span>202<\/span>5<\/span>,<\/span> and ends at the conclusion of Contest judging (the \u201cContest Period\u201d). The entry period <\/span>begins<\/span> at <\/span>9<\/span>:00 p.m. on October <\/span>31<\/span>, <\/span>202<\/span>5<\/span>,<\/span> and ends at <\/span>11:<\/span>15<\/span> p.m. on October <\/span>31<\/span>, 202<\/span>5<\/span> (the \u201cEntry Period\u201d).<\/span> Sponsor\u2019s computer is the official clock for the Contest.<\/span><\/p>\n

2. ELIGIBILITY<\/span>:\u00a0 <\/span>Contest<\/span> only open to <\/span>legal residents of <\/span>the United State<\/span>s and the District of Columbia, excluding<\/span> Rhode Island, New York, Florida, Puerto Rico, all U.S. territories and possessions<\/span>,<\/span> and all overseas military installations<\/span>,<\/span> who have reached the age of twenty-one (21)<\/span>. <\/span>Employees (including, without limitation, part-time or temporary employees) of <\/span>Sponsor and its<\/span> parent entities, subsidiaries, affiliated companies and advertising and promotion agencies and the immediate family (i.e., current and ex- spouses, parents, grandparents, children, grandchildren, and siblings and in-laws and steps in any of the foregoing categories) and other household members (i.e., roommates, housemates, significant others, and partners of each legally residing at the same address) <\/span>whether or not related, are not eligible to enter or win.<\/span><\/p>\n

3. HOW TO ENTER:\u00a0 <\/span><\/p>\n

METHOD OF ENTRY<\/span>: <\/span>There <\/span>is one <\/span>method<\/span> of E<\/span>ntr<\/span>y<\/span> for this Contest.<\/span> NO PURCHASE NECESSARY TO ENTER OR WIN.<\/span>\u00a0<\/span><\/a>To enter<\/span> this contest<\/span>,<\/span> participants should go the costume contest check-in table on-site <\/span>during <\/span>Sponsor\u2019s<\/span> 202<\/span>5<\/span>Halloween Costume Contest<\/span> (the \u201cEvent\u201d) at <\/span>Sports & Social <\/span>U<\/span> Street<\/span> located at <\/span>1314 U St NW, Washington, DC 20009<\/span>(the \u201cVenue\u201d) on October <\/span>31<\/span>, 202<\/span>5<\/span>.<\/span> You must check in (or, in some cases, be in line to check in) at or before the closing time announced.<\/span> Eligibility to participate in the contest event may require that at check-in each timely arrived Entrant complete and sign one or more liability release agreements, provide his\/her social security number, provide evidence of a valid United States federal or state photo ID (<\/span>ie<\/span>. driver\u2019s license, passport or military ID) and\/or other specific requirements announced. Failure to do any of the foregoing at check-in if required will result in automatic disqualification. Entrants hereby agree to strictly follow all instructions and directions given by the Sponsor or Venue staff at the event and understand that any intentional failure to comply with the Sponsor\u2019s or Venue\u2019s instruction, processes, procedures, or <\/span>contest rules<\/span> at the Event may result in immediate disqualification. Any decision by the Venue Contest Administrator or Sponsor at the Event will be final and not subject to appeal.<\/span><\/p>\n

Once checked in, Entrant will be required to<\/span> remain at the Event and in costume during the Contest Period and, if Entrant advances to Round 2 of the Contest, present themselves in costume on the main stage to Event attendees for judging as instructed by Sponsor.<\/span><\/p>\n

In the event that any event associated with this Contest needs to be rescheduled for any reason, such postponement will be announced on <\/span>Venue\u2019s <\/span>various official social media pages<\/span>. It is the sole responsibility of each Entrant\/Qualifier to check the <\/span>Venue\u2019s Facebook page<\/span> for cancellation and\/or rescheduling information. Notwithstanding the foregoing, Venue may (but is not obligated to) send a written, email or telephonic notice to Qualifiers regarding any necessary rescheduling of any Grand Prize Event with the rescheduled date\/time, but in no event will Venue or Sponsor have any liability or responsibility for any Qualifier\u2019s failure to receive the message for any reason. In no event will Venue or Sponsor have any liability or responsibility for any potential Entrant\u2019s, Entrant\u2019s, or Qualifier\u2019s inability to attend any event on the rescheduled date (and no alternative opportunities will be offered).<\/span><\/p>\n

LIMITS<\/span>: There is a limit of one (1) <\/span>E<\/span>ntry per <\/span>person<\/span> for the entire <\/span>Contest<\/span> Period. \u00a0All <\/span>E<\/span>ntries become the property of Sponsor and will not be acknowledged or returned.<\/span><\/p>\n

\n

ENTRANT DATA AND PRIVACY<\/span>: <\/span>Submission of <\/span>the Entry, including <\/span>any prize notification documents (\u201cEntrant Data\u201d)<\/span>,<\/span>constitutes your consent for Sponsor to obtain, use, and transfer your name, address<\/span>,<\/span> and other details for <\/span>Contest<\/span>administration purposes. <\/span>Any Entrant Data shall be used only in a manner consistent with the consent given by <\/span>E<\/span>ntrants at the time of entry, with these Official Rules, and with\u00a0Sponsor\u2019s Online Privacy Policy, which can be found at<\/span>https:\/\/sportsandsocial.com\/privacy-policy\/<\/span>. <\/span>It is the general policy of Sponsor not to share personally identifiable information with third parties<\/span>. <\/span>Sponsor<\/span> may use cookies and\/or collect IP for the purpose of implementing or exercising its rights or obligations under the <\/span>Contest<\/span> rules, for information purposes, identifying your location (including, without limitation, to re-direct you to the appropriate geographic website, if applicable) or for any other lawful purpose in accordance with <\/span>Sponsor<\/span>\u2019s privacy policy.<\/span><\/p>\n

PROMOTIONS<\/span>: Entrant consents <\/span>to the <\/span>S<\/span>ponsor<\/span>\u2019s and the Sponsor\u2019s designees\u2019<\/span> usage of any one or more of the following for on-air broadcast and for any other advertising and promotional purpose in any medium whatsoever without payment of any additional consideration: <\/span>his\/her<\/span> name<\/span>,<\/span> voice<\/span>,<\/span> likeness<\/span>,<\/span> biographical information<\/span>, <\/span>and the substance of <\/span>his\/her<\/span> entry <\/span>or any other <\/span>Contest<\/span> submissions. <\/span>E<\/span>ntrants understand<\/span>s<\/span> and agree<\/span>s<\/span> that <\/span>Sponsor <\/span>may take photographs and\/or <\/span>videotape and\/or audiotape any E<\/span>ntrant<\/span>\u2019<\/span>s participation, appearance<\/span>,<\/span> and\/or performance in connection with <\/span>the <\/span>Contest<\/span> and that <\/span>Sponsor <\/span>will own any such photos, audio<\/span>,<\/span> and\/or video and shall be free to utilize such materials in any way it sees fit during or after the <\/span>Contest<\/span> with no compensation to the entrants, including without limitation posting any such photographs, audio and\/or videos on its website<\/span>.<\/span><\/p>\n

All copyright, trademark<\/span>,<\/span> or other intellectual property rights in such Promotions shall be owned by Sponsor or its licensors<\/span>,<\/span> and <\/span>W<\/span>inner hereby disclaim<\/span>s<\/span> and waive<\/span>s<\/span> any claim of right to such Promotions. Such Promotions shall be solely under control of Sponsor or its licensors, and <\/span>W<\/span>inner hereby waives any claim of control over the Promotions<\/span>\u2019<\/span>content<\/span>,<\/span> as well as any possible claims of misuse of <\/span>W<\/span>inner\u2019s name under contract, tort<\/span>,<\/span> or any other theory of law.<\/span><\/p>\n

THIRD-PARTY <\/span>ADMINISTRATORS<\/span>: Sponsor<\/span> may utilize certain <\/span>Contest<\/span> administration <\/span>software owned and\/or administered by third parties (\u201cGame A<\/span>dministrator\u201d). In such event, E<\/span>ntrants may be required to have or to establish an account with such Game Administrator<\/span>,<\/span> but all such <\/span>account<\/span> shall be free<\/span>,<\/span> and entry may be limited to one entry per Game Administrator account or limited in any other way announced. The requirements and limitations on setting up an account will be governed by that Game Administrator<\/span>,<\/span> and E<\/span>ntrants should refer to the Game Administrator\u2019s terms and conditions (for example, a Game Administrator may only require one account per email address). Game Administrators are not <\/span>sponsors of <\/span>Contest<\/span>,<\/span> but <\/span>E<\/span>ntrants may be required, as part of the entry process, to agree and consent to their terms of service and\/or privacy policy (both of which will be available via a link during the entry and account registration process) (collectively, the \u201cGame Administrator Policies\u201d). While agreement to the Game Administrator Policies may be required in order to enter <\/span>the <\/span>Contest<\/span>, the Game Administrator Policies are not a part of these <\/span>Official<\/span> R<\/span>ules but are a <\/span>separate agreement between the E<\/span>ntrant and the Game Administrator. With<\/span> respect to the conduct of the <\/span>Contest<\/span>, in the event of any conflict between the Game Administrator Policies and <\/span>these Official Rules<\/span>, <\/span>the Official Rules<\/span> will govern.<\/span><\/p>\n

4. PRIZES, <\/span>WINNER SELECTION<\/span>, AND ODDS OF WINNING:\u00a0 <\/span><\/p>\n

PRIZE <\/span>JUDGING<\/span>:<\/span> One first place, one second place, and one third place winner will be selected from all eligible Entries received during the Contest Period<\/span> The judging will be conducted<\/span> throughout the Entry Period and continue until the judging has concluded<\/span>. <\/span>There will be two rounds of judging. Round 1 judging will be conducted by a panel of judges based on the following criteria: <\/span>25<\/span>% originality, <\/span>25% quality<\/span>, <\/span>25%<\/span> effort, and 25% <\/span>authenticity<\/span>.<\/span> The panel of judges will select <\/span>three<\/span> Entrants as finalists to advance to Round 2. Round 2 will be judged based on 100% crowd applause. <\/span>The order of all stage appearances will be randomly selected by Sponsor. In Round 2, each qualifying Entra<\/span>nt will have up to thirty seconds on stage in front of the Event attendees beginning at the time(s) specified by Sponsor. <\/span>In the event of a tie score, Sponsor will follow the tie-breaking procedures<\/span>, as outlined below<\/span>. <\/span>Non-winning Entries will not carry forward to or be included in any subsequent Contest or prize drawings of Sponsor<\/span>.<\/span> Odds of winning the Contest depend on the total number of eligible Contest <\/span>Entries<\/span> received. <\/span><\/p>\n

B. <\/span>Tied Scores<\/span>: <\/span>Tied Scores: In the event of a tied score in the Contest Winner Selection, <\/span>the tied Entries will be re-evaluated <\/span>by crowd applause noise level<\/span>, and the Entry with the <\/span>loudest crowd response<\/span> will be deemed the Winner. Sponsor reserves the right to request additional consideration by the judging panel in its sole discretion.<\/span><\/div>\n

Sponsor <\/span>reserves the right to (but not the obligation) to post some or all entry information and\/or materials on the <\/span>Sponsor<\/span>\u2019s website or social networking sites, in whole or in an edited form (in <\/span>Sponsor<\/span>\u2019s discretion), as a \u201cfeatured\u201d entry. Having <\/span>an<\/span> entry posted and\/or \u201cfeatured\u201d does NOT mean that the entrant<\/span> has won or is likely to win the C<\/span>ontest. The decision to post or \u201cfeature\u201d any such entries is for entertainment purposes only and is not part of the w<\/span>inner selection process in the C<\/span>ontest.<\/span><\/p>\n


\n<\/span>PRIZE DETAILS<\/span>: \u00a0<\/span>Total of<\/span> three (3)<\/span> winners (each a \u201cWinner\u201d)<\/span>, <\/span>The first place Winner will receive <\/span>$300.00 in cash; the Second Place Winner will receive $150.00 in cash; and the Third Place Winner will receive $50.00 in cash. <\/span>The<\/span>approximate retail value (\u201cARV\u201d) of <\/span>both <\/span>Prizes<\/span> is $<\/span>5<\/span>00<\/span>. <\/span>Sponsor will notify a Potential Winner by sending a message to the Potential Winner via <\/span>live<\/span> DJ<\/span> announcement at the Event when judging is concluded<\/span>. <\/span>The <\/span>Potential Winner<\/span> is responsible<\/span> for <\/span>responding <\/span>at the time of <\/span>issuance of notification<\/span>. <\/span>The <\/span>W<\/span>inner is solely responsible for any taxes on the prize<\/span>. <\/span>Only one prize will be awarded per <\/span>W<\/span>inner. <\/span>Prize must be picked up at the Venue beginning at the end of the Contest Period unless otherwise specifically directed by Sponsor. Prizes will not be mailed, unless otherwise determined by the Sponsor. Prizes not claimed within one hour of the end of the Contest Period shall be considered forfeited (without notice to the winner) and will become property of Sponsor.<\/span> Such prize may be disposed of at the discretion of <\/span>Sponsor<\/span>Management.<\/span> Prizes will be released to W<\/span>inner<\/span> only. Winner<\/span> may be required to present a valid United States state or federal photo ID and valid social security number in order to pick up any <\/span>prize.<\/span> Cash<\/span> Prize<\/span>s<\/span> will be paid in the form of a company check, payable only to the winner and no other person. <\/span><\/p>\n

\n

Winners are prohibited from selling any prize awarded or transferring any prize without <\/span>Sponsor<\/span>\u2019s authorization (which authorization must be in writing by a <\/span>Sponsor<\/span> representative and shall be granted or withheld in <\/span>Sponsor<\/span>\u2019s sole discretion on a <\/span>case by case<\/span> basis). In the event that <\/span>Sponsor<\/span> discovers or suspects (correctly or incorrectly) that a winner is attempting to sell his\/her prize from <\/span>Sponsor<\/span> (i.e., eB<\/span>ay, craigslist or otherwise), <\/span>Sponsor<\/span> reserves the right, in its sole discretion, on a case by case basis to take any one or more of the following actions: (a) immediately disqualify the winner and deem any prize they were otherwise entitled to as forfeited, (b) refuse to award the prize to such winner, even if he\/she represents that they will not resell or transfer the prize, and\/or (c) prohibit the violating winner from participating and\/or winning any future <\/span>Sponsor<\/span> Contest<\/span>s (whether for a fixed period of time or in perpetuity, in <\/span>Sponsor<\/span>\u2019s sole discretion) and if such winner ever wins a future <\/span>Sponsor<\/span> Contest<\/span> during the period that he\/she is banned, he\/she shall be disqualified from the <\/span>Contest<\/span> and forfeit any prize once it has come to <\/span>Sponsor<\/span>\u2019s attention. Further, <\/span>Sponsor<\/span> reserves the right to track and\/or cancel and invalidate any prize awarded that <\/span>Sponsor<\/span> suspects <\/span>was<\/span> sold or transferred without authorization.<\/span><\/p>\n

PRIZE AWARDING<\/span>: Sponsor will not rep<\/span>lace any lost or stolen prize. <\/span>No transfers, cash awards, or prize substitutions are permitted, except by Sponsor. Sponsor reserves the right to substitute a prize with one of comparable or greater value, at its sole discretion. Prize awarded is subject to verification of eligibility and compliance with these Official Rules. <\/span>Prize winner <\/span>may be required to sign an affidavit of eligibility, liability release, and where legal, a publicity release (collectively, the \u201cAffidavit\u201d), and return the same, properly executed, within seven (7) days of issuance of notification. <\/span>If a<\/span> prize or prize notification is returned as undeliverable<\/span>; or if<\/span> a <\/span>Potential Winner<\/span> cannot be contacted after <\/span>a reasonable number of attempts,<\/span> is ineligible according to these Official Rules<\/span>,<\/span> fails to provide the required information and\/or return the required documents within the specified time period<\/span>,<\/span> decides to decline his\/her <\/span>prize for any reason whatsoever,<\/span> or otherwise fails to fully comply with these Official Rules, he\/she will forfeit his\/her prize and the prize may be awarded to an alternate winner from among all remaining eligible entries received, in the Sponsor\u2019s sole discretion. <\/span>Potential Winner may be required to present valid identification <\/span>proving<\/span> eligibility, and Sponsor may <\/span>reasonably choose to disqualify a Potential Winner based on the identification provided.<\/span> Upon disqualification, no compensation will be given. <\/span>Once the <\/span>Affidavit is<\/span>received within the specified time period, <\/span>is <\/span>verified, and receive<\/span>s<\/span> final approval by <\/span>Contest<\/span> Entities, then and only then will a <\/span>Potential Winner<\/span> become an actual Winner. Prize will be awarded in the name of the Winner. <\/span>In the event that any <\/span>potential <\/span>winner is disqualified in a <\/span>Contest<\/span> for any reason permitted by the<\/span>se<\/span> rules at any point in time (before or after a winner is determined), <\/span>Sponsor<\/span> may, but is not<\/span> obligated to<\/span>, select an alternative winner, and Sponsor<\/span> may instead elect to retain any associated prize(s) as its own property and\/or dispose of any such prize(s) in any way it sees fit outside of (or within) the scope of the <\/span>Contest<\/span>. In the event that any <\/span>E<\/span>ntrant or entry is disqualified or any prize is forfeited in accordance with <\/span>these<\/span> rules, <\/span>Sponsor has <\/span>no obligation whatsoever to notify <\/span>any such<\/span> E<\/span>ntrant of any such disqualification or forfeiture.<\/span> Decisions of the Sponsor are final in all respects of the <\/span>Contest<\/span>. \u00a0<\/span><\/p>\n

PRIZES WILL BE ACCEPTED \u201cAS IS\u201d WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). <\/span>Contest<\/span> Entities have neither <\/span>made<\/span> nor are in any manner responsible or liable for any warranty, representation<\/span>,<\/span> or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize manufacturer that <\/span>may be sent along with a prize.<\/span> Winner will not be obligated to purchase any other Sponsor products or services.<\/span> Entrant<\/span> agree<\/span>s<\/span> to<\/span> indemnify, release<\/span>,<\/span> and hold harmless <\/span>Entrant<\/span> agree<\/span>s<\/span> to<\/span> indemnify, release<\/span>,<\/span> and hold harmless <\/span>Sponsor, <\/span>Sponsor\u2019s affiliates, and each of their<\/span> directors, officers, members, agents, and empl<\/span>oyees (collectively the \u201cContest<\/span> Entities\u201d)<\/span> from losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, <\/span>or <\/span>possession of the prize resulting from participating in this <\/span>Contest<\/span>. Entrant acknowledges and agrees that Sponsor has not arranged for nor carries any insurance of any kind for the benefit of Entrant or that of Entrant\u2019s heirs, executors<\/span>,<\/span> and administrators relative to Entrant\u2019s use of the <\/span>prize<\/span> awarded to Entrant; and that Entrant is solely responsible for obtaining and paying for any insurance relative to the prize awarded to Entrant.<\/span><\/p>\n

5. CONDITIONS OF ENTRY<\/span>: <\/span>Contest<\/span> Entities are not responsible for incorrect or inaccurate transcription of entry information, or for any human or printing error in these rules or any promotional materials, technical malfunctions, lost\/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, or any other error or malfunction, or any injury or damage to <\/span>Entrant\u2019s<\/span> or any other person\u2019s computer related to or resulting from participation in the <\/span>Contest<\/span>, or for late, lost, stolen, illegible or misdirected entries. Entry materials that have been tampered with or altered are void. If, in the Sponsor\u2019s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this <\/span>Contest<\/span>, or if any difficulties compromise the administration, security, fairness, integrity, or proper conduct of the <\/span>Contest<\/span>, the Sponsor reserves the right to void any entries at <\/span>issue and\/or to suspend, modify, cancel, or terminate the<\/span> Contest<\/span>, in whole or in part, at any time without notice and award the prizes in a random drawing from among all non-suspect eligible entries received as of the termination date. In case of a <\/span>dispute as<\/span> to<\/span> the owner of an <\/span>E<\/span>ntry, <\/span>E<\/span>ntry will be deemed to have been submitted by the authorized account holder of the email address<\/span>, Twitter account, Facebook account, or Instagram account with which the Entry was made<\/span>. Notice of such action will be posted online <\/span>on Sponsor\u2019s Facebook page and\/or Sponsor\u2019s website,<\/span> https:\/\/sportsandsocial.com\/<\/span>bethesda<\/span>\/<\/span>.<\/span> Caution: Any attempt by <\/span>a<\/span>Entrant<\/span> or any other individual to deliberately undermine the legitimate operation of the <\/span>Contest<\/span> may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and\/or other remedies from any such person to the fullest extent permitted by law.\u00a0 <\/span><\/p>\n

Inquiries by <\/span>E<\/span>ntrants or potential <\/span>E<\/span>ntrants<\/span> to <\/span>Sponsor<\/span> (whether in person, by email, or by telephone) regarding the status of their entry or questions about <\/span>the <\/span>Contest<\/span> may or may not be responded to<\/span>,<\/span> and <\/span>Sponsor<\/span> is not obligated to respond or <\/span>treat to<\/span> all inquiries identically (even if the question is identical). Time considerations and\/or volume, a<\/span>mong other things, may impact Sponsor\u2019s <\/span>desire or ability to respond to such inquiries from time to time. Notwithstanding anything communicated by any <\/span>Sponsor<\/span> employee in connection with any such inquiry, such information shall not be binding on <\/span>Sponsor<\/span> (the sole determining information related to this <\/span>Contest<\/span> is as set forth in the <\/span>Contest<\/span> rules) and shall not be deemed to be providing any type of improper assistance or advantage to any particular <\/span>Contest<\/span>ant over another. Any attempt by <\/span>Sponsor<\/span> to respond to an inquiry will be in the context of providing good customer service only and, in some instances, to address technical issues\/problems.<\/span><\/p>\n

6. DISPUTES<\/span>:<\/span> This <\/span>Contest<\/span> is conducted in English.<\/span> Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the <\/span>Entrant<\/span>and Sponsor in connection with this promotion, shall be governed by, and construed in accordance<\/span> with, the laws of the State where Sponsor is located<\/span>, without giving effect to any choice of law or conflict of law rules (whether of the State <\/span>where Sponsor is located<\/span>, or any other jurisdiction), which would cause the application of the laws of any jurisdic<\/span>tion other than in the State where Sponsor is located<\/span>. <\/span><\/p>\n

By entering <\/span>Contest<\/span>, <\/span>E<\/span>ntrants understand that <\/span>Sponsor\u2019s<\/span> staff may choose to comment on, mock, poke fun at, and\/or mimic any <\/span>E<\/span>ntrant\u2019s entry and\/or performance. Entrants waive any right to make any claim against <\/span>Sponsor<\/span> with respect to any comments – disparaging or otherwise – made regarding such <\/span>E<\/span>ntrant and\/or his\/her entry, entry materials, performance, voice, appearance, participation<\/span>,<\/span> and\/or any other information provided or disclosed to <\/span>Sponsor<\/span> during <\/span>or after the <\/span>Contest<\/span> Period<\/span>.<\/span><\/p>\n

8.\u00a0 DISPUTE RESOLUTION<\/span>:<\/span> The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in<\/span> Baltimore, Maryland<\/span> and any other court with<\/span> jurisdiction over the parties.<\/span> To expedite resolution and control the cost of a Dispute, you and <\/span>Sponsor<\/span> agree to first attempt to resolve a Dispute informally for at least thirty (30) days before initiating any arbitration.\u00a0 Such informal negotiations will commence upon written notic<\/span>e from one party to the other.\u00a0<\/span>You must send your notice to<\/span> sweepstakes@livedistricts.com<\/span>.<\/span>\u00a0Please include in the subject line of the email \u201cRequest to Negotiate.\u201d<\/span> If you and <\/span>Sponsor<\/span> are unable to resolve a Dispute through informal negotiations, either you or <\/span>Sponsor<\/span> may elect to have a Dispute resolved by binding arbitration by notifying the other party of such election.\u00a0 Either party also may choose to seek relief in a small claims court for a Dispute within the scope of its jurisdiction, instead of arbitration.\u00a0 To make this election, the small claims court action must be commenced before either party notifies the other of an election to arbitrate the Dispute, but after the conclusion of the informal negotiation period described above.\u00a0 If neither party has validly commenced a small claims court action for a Dispute, any election to arbitrate the Dispute by one party will immediately become final and binding on the other.\u00a0 You and <\/span>Sponsor<\/span> agree to waive the right to litigate any Dispute in court (except in small claims court in the limited circumstances described above) and before a jury and agree that this arbitration provision will be governed by the Federal Arbitration Act to the maximum extent permitted by law.\u00a0 You and <\/span>Sponsor<\/span> also agree that any arbitrator that arbitrates a Dispute under this provision is without jurisdiction to conduct class arbitration or other representative <\/span>proceeding and<\/span> may not consolidate one person\u2019s claims<\/span> with another.<\/span> You and <\/span>Sponsor<\/span> agree that all issues of enforceability of this agreement to arbitrate \u2013 including issues relating to scope, validity, and unconscionability \u2013 will be decided by the arbitrator.\u00a0 If for any reason this arbitration provision is deemed inapplicable or invalid, you and <\/span>Sponsor<\/span> both waive, to the fullest extent allowed by law, the right to a jury trial and any claims relating to a Dispute to recover punitive or exemplary damages and any right to pursue any claims on a class or consolidated basis or in a representative capacity.\u00a0 These waivers shall also apply to any proceeding in small claims court.<\/span><\/p>\n

The arbitration will be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (\u201cAAA\u201d) and the AAA\u2019s Supplementary Procedures for Consumer-Related Disputes (\u201cAAA Consumer Procedures\u201d), both of which are available at the AAA website\u00a0<\/span>www.adr.org<\/span><\/a> or may be acquired by calling the AAA at 1-800-778-78<\/span>79.<\/span> Any arbitration will be confidential, and neither you nor <\/span>Sponsor<\/span> may disclose the existence, content, or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award.\u00a0 Judgment on any arbitration award may be entered in any court having proper jurisdiction.<\/span> If any portion of this arbitration provision is determined by a court or the arbitrator to be inapplicable or invalid, then the remainder shall still be given full force and effect.<\/span><\/p>\n

Payment of all arbitrator compensation, expenses, and administrative fees (which include filing and hearing fees) will be governed by the AAA Consumer Procedures.\u00a0 Under those Procedures, and except as provided below, you are not responsible for paying any arbitrator compensation or expenses, and the only administrative fee you would be responsible for is a $200 filing fee.\u00a0 Moreover, if the relief you seek is less than $5,000, <\/span>Sponsor<\/span> will pay the $200 filing fee.\u00a0 Regardless of the amount of your claim, however, the arbitrator may re-allocate compensation, expenses, and administrative fees if he or she determines that a claim or counterclaim was filed for purposes of harassment or is patently frivolous.\u00a0 In all arbitrations, each party will bear the expense of its own counsel, experts, witnesses, and preparation and presentation of evidence at the arbitration, except that <\/span>Sponsor<\/span> will pay the costs relating to proof and witnesses produced at the direction of the arbitrator.\u00a0 <\/span><\/p>\n

WHO WON<\/span>:\u00a0 For the names of the prize winners, <\/span>send a self-addressed, stamped<\/span> envelope <\/span>to<\/span> c\/o Entertainment Consulting International, LLC, 601 East Pratt Street, 5<\/span>th<\/span> Floor, Baltimore, MD 21202<\/span>.<\/span> All requests for winner lists must be mailed and received by Sponsor <\/span>within <\/span>4 months after the <\/span>end of the <\/span>Contest<\/span> Period<\/span>.<\/span><\/p>\n

MISCELLANEOUS<\/span>: The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision.\u00a0 In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provi<\/span>sion were not contained herein.<\/span> Sponsor\u2019s failure to enforce any term of these Official Rules will not constit<\/span>ute a waiver of that provision.<\/span> When terms such as “may” are used in these Official Rules, Sponsor ha<\/span>s sole and absolute discretion.<\/span> Entrants agree to waive any rights to claim amb<\/span>iguity of these Official Rules.<\/span> Headings are solely for convenience of reference and will not be deemed to affect in any manner the <\/span>meaning or intent of the doc<\/span>uments or any provision hereof.<\/span> In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any <\/span>Contest<\/span>-related materials, privacy policy<\/span>, or terms of use on Sponsor\u2019s <\/span>Website and\/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern<\/span>,<\/span> and control<\/span>,<\/span> and the discrepancy will be resolved in Sponsor\u2019s sole and absolute discretion.<\/span><\/p>\n
